These Terms of Service ("Terms") govern your use of the KymaFlow mobile application and web platform ("Service") operated by KymaFlow ("we", "our", or "us"). By accessing or using the Service, you agree to be bound by these Terms.
By creating an account or using KymaFlow, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Service.
KymaFlow is a logistics marketplace platform that connects shippers/senders (individuals or businesses needing items transported) with haulers/transporters (verified individuals who are authorised to move goods). The Service facilitates:
Throughout these Terms, the Shipment Services Agreement, and the Service itself, the terms "driver", "hauler" and "transporter" are used interchangeably and refer to the same party, as are "shipper" and "sender". No difference in meaning is intended by the use of one term over another.
To use KymaFlow, you must:
All payments are processed through Stripe, a PCI DSS-compliant payment processor. When a shipper accepts a bid, the payment amount is secured and held by the platform. Upon confirmed delivery completion, the net earnings (less applicable platform fees and commissions) will be credited to the hauler's digital platform wallet, subject to the payout holding parameters detailed in Section 7.4. Shippers may cancel jobs before pickup; cancellation policies apply.
KymaFlow charges a commission on completed deliveries based on the hauler's subscription tier:
A Trust & Safety fee of $1.50 NZD is applied to each transaction.
Bids, counter-offers, offers and route quotes are subject to a platform minimum price, currently NZ$15.00 per job. The minimum is shown in the app and web portal wherever a price is entered, and KymaFlow may adjust it from time to time in accordance with Section 7.5.
To ensure platform safety, mitigate transactional fraud, and allow a reasonable buffer window for shippers to inspect cargo and report delivery irregularities, all funds credited to a hauler's digital wallet are subject to a mandatory five (5) day holding period.
Haulers may only initiate a withdrawal or payout request to their linked bank account on cleared balances that have successfully passed this 5-day window. This holding period is calculated continuously from the exact timestamp the delivery completion is recorded on the Service. In the event a formal dispute is raised via the platform's dispute resolution system during this 5-day window, the affected funds will be frozen and placed under review until the dispute is resolved.
A payout processing fee of 2.5% applies to each withdrawal, with a minimum withdrawal of NZ$10.00 and a maximum of NZ$100,000.00 per request.
At checkout, shippers choose between Immediate Settlement (Visa/Mastercard/Debit), charged at the agreed job price with no added fee, and Flexible Invoice Settlement (Afterpay / Pay in 4), which includes a 6% Admin & Financing Fee added to the agreed job price and shown before payment is confirmed.
KymaFlow charges a 13.8% platform fee on completed deliveries (the standard Kyma-Lite rate; subscription tiers may reduce this as set out in Section 7.2). Where a shipper selects Flexible Invoice Settlement at checkout, the transaction may incur up to a 6% Flexible Payment Administration Fee, shown before payment is confirmed. These fees cover verification, processing overhead, and clearing house costs. KymaFlow may modify its fees from time to time based on provider costs; material changes will be notified in accordance with these Terms.
To receive payouts, haulers provide their legal name (or registered business name and NZBN), address, date of birth where applicable, and a New Zealand bank account inside the KymaFlow app or web portal. KymaFlow collects and verifies this information on behalf of its payment processor; haulers are not required to create or manage an account with the processor and are not given access to any processor-hosted dashboard. Bank account numbers are transmitted directly to the processor and are not stored by KymaFlow.
Payment processing services for haulers on KymaFlow are provided by Stripe and are subject to the Stripe Connected Account Agreement, which includes the Stripe Terms of Service (collectively, the "Stripe Services Agreement"). By agreeing to these Terms or continuing to operate as a hauler on KymaFlow, you agree to be bound by the Stripe Services Agreement, as the same may be modified by Stripe from time to time. As a condition of KymaFlow enabling payment processing services through Stripe, you agree to provide KymaFlow accurate and complete information about you and your business, and you authorise KymaFlow to share it and transaction information related to your use of the payment processing services provided by Stripe.
Verification requirements are set by the processor and applicable law and may change over time. Where additional information is required to keep payouts active (for example an identity document), KymaFlow will notify you in-app and payouts may be paused until it is provided. Bank statements will show payouts from KymaFlow.

You agree to indemnify and hold harmless KymaFlow, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.
We reserve the right to modify these Terms at any time. We will notify users of material changes via email or in-app notification. Continued use of the Service after changes constitutes acceptance of the updated Terms.
